Service Description

Our Services encompass a comprehensive array of offerings, including but not limited to the design, development, manufacturing, and associated solutions pertaining to customized IoT hardware. The precise specifications of the Services, encompassing project scope, deliverables, milestones, and timelines, shall be meticulously delineated within a mutually ratified proposal or contractual agreement.

Confidentiality

Both parties involved in this Agreement pledge to uphold the strictest levels of confidentiality concerning any non-public information exchanged during the course of providing the Services. This confidential information encompasses, without limitation, technical specifications, proprietary designs, trade secrets, and sensitive business strategies. Under no circumstances shall any confidential information be disclosed to any third party without the prior written consent of the disclosing party, unless compelled by applicable law.

Payment Terms

The financial terms and pricing structure for the Services shall be explicitly elucidated in a distinct contractual arrangement or a formal proposal. Client undertakes the obligation to fulfill all payment obligations in strict accordance with the stipulated terms. Failure to comply with the prescribed payment schedule may result in the temporary suspension or, in more severe cases, the termination of the provision of Services.

Payment Terms

Company Intellectual Property:

The Company shall retain exclusive ownership of all intellectual property rights tied to the customized IoT hardware conceived and produced during the course of rendering the Services, unless expressly denoted otherwise in a written agreement.

Customer Intellectual Property:

You, as the Customer, shall maintain ownership of any intellectual property rights connected to materials, concepts, or proprietary information provided to us for the purposes of customizing IoT hardware.

Warranty

We proffer a warranty that the customized IoT hardware shall be devoid of any defects in materials and workmanship for a specified period, commencing from the date of delivery, herein referred to as the "Warranty Period." In the event that defects manifest during this stipulated Warranty Period, we commit to rectify or replace the hardware at no supplementary cost, contingent upon the proviso that such defects are not traceable to misuse, abuse, or any unauthorized alterations or tampering.

Limitation of Liability

Under no circumstances shall the Company bear responsibility for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with the utilization of our Services.

Termination

Either party retains the prerogative to terminate this Agreement upon delivery of a written notice to the other party, in the event of a material breach of any provision contained herein. Subsequent to such termination, the Customer shall remain liable for payment of all Services rendered up to the date of termination.

Amendments to Terms and Conditions

The Company reserves the prerogative to revise and amend these Terms and Conditions at its sole discretion and at any time. These revisions will be conspicuously posted on our official website, and it is incumbent upon you to periodically review these Terms. Continued utilization of our Services subsequent to any such modifications shall be deemed an acceptance of the updated Terms and Conditions.
